Acknowledgement
These Terms and Conditions govern the use of the Service and form the agreement between You and the Company. They set out the rights and obligations of all users of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. They apply to all visitors, users and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of them, You may not access the Service.
If You accept these Terms on behalf of a company or other legal entity, You confirm that You are authorised to bind that entity, and "You" then refers to that entity.
You must be at least 18 years old, or have the age of legal capacity in Your country of residence, to place Orders.
Your use of the Service is also subject to the Company's Privacy Policy and Cookie Policy, which describe how We collect, use and disclose Your personal data and what rights You have under applicable data protection law, including Regulation (EU) 2016/679 (GDPR). Please read them carefully.
Your Account
When You create an Account, You must provide information that is accurate, complete and current at all times. Failure to do so is a breach of these Terms and may result in suspension or termination of Your Account.
You are responsible for safeguarding the credentials You use to access the Service and for all activity under Your Account. You agree not to disclose Your credentials to any third party and to notify Us immediately at info@vitextra.com on becoming aware of any security breach or unauthorised use of Your Account.
Through Your Account You may view Your Orders, invoices, products and Subscriptions, manage Your profile and contact support. You are responsible for keeping Your contact and billing details up to date.
You may not use a username that impersonates another person or entity, that You are not lawfully entitled to use, that infringes the rights of another, or that is offensive, vulgar or obscene.
Placing Orders for Goods
By placing an Order through the Service, You warrant that You are legally capable of entering into binding contracts.
Order Process and Contract Formation
Presenting Goods on the Service is an invitation to make an offer. Your Order is an offer to buy. The contract is concluded when We confirm Your Order by e-mail or make the Goods or Subscription available to You. Before submitting an Order You can review and correct the details on the checkout page.
Your Information
To place an Order You may be asked to provide information including Your name, billing address, contact details, VAT number (if You are a business) and payment details.
You represent and warrant that: (i) You have the legal right to use any payment method in connection with an Order; and (ii) the information You provide is true, correct and complete.
By submitting this information, You authorise Us to share it with payment processors and other service providers to the extent necessary to complete Your Order. Card details are processed by Our payment provider and are not stored by the Company.
Order Cancellation by Us
We reserve the right to refuse or cancel an Order at any time for reasons including:
- Goods or licences being unavailable
- Errors in the description or price of the Goods
- Errors in Your Order
- Suspected fraud or an unauthorised or illegal transaction
- Restrictions arising from sanctions or export control law (see "Sanctions and Export Controls")
If We cancel an Order after You have paid, We will refund the amount paid without undue delay.
Availability, Errors and Inaccuracies
We continuously update Our offering. Goods on the Service may be mispriced, inaccurately described or unavailable, and updates may be delayed. We do not guarantee that information on the Service, including prices, images, specifications and availability, is complete or free of errors. We may correct errors and update information at any time. If a correction affects an Order You have already placed, We will notify You and You may cancel that Order free of charge.
Prices and Taxes
Prices are shown in the currency indicated on the Service. Unless stated otherwise, prices for Consumers include value added tax (VAT) at the applicable rate. For business customers, prices may be shown excluding VAT, which is then added at the applicable rate or handled under the reverse-charge mechanism where the law allows and a valid VAT number has been provided.
We may change prices at any time before accepting an Order. After We have accepted an Order, the agreed price will not change, except where required by law or where delivery is affected by circumstances beyond Our control, such as government action, changes in customs duties or increased shipping charges. In that case We will notify You and You will have the right to cancel the Order.
Payments
Payment is due at the time of the Order unless We have agreed otherwise in writing. You can pay by the methods offered at checkout, such as payment cards (Visa, Mastercard, American Express), bank transfer or online payment services (for example, PayPal).
Card payments are subject to verification and authorisation by Your card issuer. If the required authorisation is not received, We are not liable for any delay or non-delivery of Your Order.
For invoiced Orders, You must pay by the due date shown on the invoice. If payment is late, We may suspend access to the Goods or Subscription concerned and, where permitted by law, charge statutory late-payment interest and recovery costs.
Delivery
Digital Goods and licences are made available electronically, usually in Your Account or by e-mail, once payment has been confirmed. Physical Goods, if any, are delivered to the address You provide; delivery times and costs are shown at checkout.
Right of Withdrawal and Returns
Consumers
If You are a Consumer in the European Union, You have the right to withdraw from a distance contract for Goods within 14 days without giving any reason, in accordance with Directive 2011/83/EU and the Latvian Consumer Rights Protection Law. For Goods, the period starts on the day You (or a third party You named, other than the carrier) receive the Goods. For Subscriptions and other services, it starts on the day the contract is concluded.
To withdraw, send Us a clear statement of Your decision by e-mail to info@vitextra.com or through the contact form on the Website. You may use the model withdrawal form, but You are not required to. It is enough to send Your notice before the withdrawal period expires.
If You withdraw, We will reimburse all payments received from You, including standard delivery costs, without undue delay and no later than 14 days after We receive Your notice. We may withhold reimbursement until We have received the returned Goods or You have provided proof that You have sent them back. We will use the same means of payment as You used for the Order, and You will not incur any fee for the reimbursement. You bear the direct cost of returning physical Goods, unless We agreed to bear it.
You are liable for any diminished value of returned Goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning. Please return Goods in their original condition with all accessories, documentation and packaging.
If You asked a service to begin during the withdrawal period, You must pay a proportionate amount for what has been provided until You told Us of Your withdrawal.
Exceptions
Unless mandatory law provides otherwise, the right of withdrawal does not apply to:
- Goods made to Your specifications or clearly personalised.
- Goods that by their nature cannot be returned, deteriorate rapidly or whose expiry date has passed.
- Sealed Goods that are not suitable for return for health protection or hygiene reasons and were unsealed after delivery.
- Goods that, after delivery, are by their nature inseparably mixed with other items.
- Sealed software or other sealed digital media whose seal has been broken after delivery.
- Digital content that is not supplied on a tangible medium, if performance began with Your prior express consent and You acknowledged that You thereby lose Your right of withdrawal.
- Services that have been fully performed, if performance began with Your prior express consent and You acknowledged that You lose Your right of withdrawal once the service is fully performed.
Business Customers
The statutory right of withdrawal applies only to Consumers. Business customers may return Goods only where We have agreed in writing or where the Goods are defective.
Legal Guarantee
Nothing in these Terms limits Your statutory rights as a Consumer, including the legal guarantee of conformity of Goods and digital content and digital services, which cannot be waived or limited by contract.
Subscriptions
Subscription Period
Some parts of the Service or some Goods are available only with a paid Subscription. You will be billed in advance on a recurring basis (for example monthly or annually), depending on the plan You select.
At the end of each period Your Subscription renews automatically on the same terms unless You or the Company cancels it. Before You subscribe, We will show You the price, the billing period and the renewal terms.
Cancellation
You may cancel Your Subscription renewal at any time through Your Account settings or by contacting the Company. Cancellation takes effect at the end of the current Subscription period. You will have access until then. Fees already paid for the current period are not refunded, except as required by law or stated in these Terms.
Billing
You must provide accurate and complete billing information, including full name, address, country, postal code, telephone number, VAT number (for businesses) and valid payment method details.
If automatic billing fails for any reason, the Company may send an electronic invoice requiring You to pay manually by the stated deadline. If payment is not made, We may suspend or terminate the Subscription.
Fee Changes
The Company may change Subscription fees. A change takes effect at the end of the then-current Subscription period. We will give You reasonable prior notice, and at least 30 days, so that You can cancel before the change takes effect. If You continue to use the Service after the change takes effect, You agree to pay the new fee.
Refunds
Except where required by law or stated in these Terms (including the Consumer right of withdrawal), paid Subscription fees are non-refundable. The Company may consider refund requests case by case and grant them at its discretion.
Free Trial
The Company may offer a Subscription with a Free Trial for a limited period. You may be asked to enter billing information to sign up. In that case You will not be charged until the Free Trial ends. Unless You cancel before the last day of the Free Trial, You will be charged the applicable Subscription fee for the plan You selected. We will tell You the date on which the trial ends.
The Company may modify or cancel a Free Trial offer at any time. Changes do not affect Free Trials that have already begun.
Support and Incidents
Through the Service You can contact support and create and follow support incidents. Support is provided according to the plan or agreement applicable to Your product. We will make reasonable efforts to respond and resolve incidents promptly, but response and resolution times are targets only unless a separate written service level agreement says otherwise.
When You create an incident, You must describe it accurately and must not include passwords, payment card numbers or other unnecessary sensitive data. To resolve an incident, We may need access to information You provide or to Your environment, and We will use it only for that purpose and in accordance with the Privacy Policy.
Licences and Acceptable Use
Unless a separate licence agreement applies to particular Goods, the Company grants You a limited, non-exclusive, non-transferable, revocable licence to use purchased software and digital Goods for Your own internal purposes, within the scope and term You paid for. All rights not expressly granted are reserved.
You agree not to, and not to allow others to:
- copy, modify, decompile, reverse engineer or create derivative works of the Goods or the Service, except as permitted by mandatory law;
- resell, sublicense, rent or share licences or Account access with third parties, unless expressly permitted;
- circumvent licence keys, usage limits or technical protection measures;
- use the Service in a way that is unlawful, that harms or overloads it, or that interferes with other users;
- scan, probe or test the vulnerability of the Service, or access it by automated means (such as bots or scrapers) without Our written permission;
- attempt to gain unauthorised access to the Service, other Accounts or related systems.
Content
Your Right to Post Content
The Service allows You to post Content, for example in support incidents, comments and profile data. You are responsible for the Content You post, including its legality, reliability and appropriateness.
You retain all rights to Your Content. By posting Content, You grant the Company a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, modify (for technical purposes such as formatting), display and distribute that Content as necessary to operate, provide and improve the Service. Content You make public on the Service may be seen and used by other users in accordance with these Terms.
You represent and warrant that: (i) the Content is Yours or You have the right to use it and to grant the rights described in these Terms; and (ii) posting the Content does not violate the privacy, publicity, copyright, contractual or other rights of any person.
Content Restrictions
You are solely responsible for Your Content and for all activity under Your Account, whether by You or by a third party using Your Account. The Company is not responsible for the content of the Service's users.
You may not transmit any Content that is unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable. Examples include Content that:
- is unlawful or promotes unlawful activity;
- is defamatory, discriminatory or hateful, including towards religion, race, sexual orientation, gender, national or ethnic origin or other groups;
- is spam, machine- or randomly-generated, or constitutes unauthorised or unsolicited advertising, chain letters, any other form of unauthorised solicitation, or any form of lottery or gambling;
- contains or installs viruses, worms, malware, trojan horses or other content designed to disrupt, damage or limit the functioning of any software, hardware or telecommunications equipment, or to damage or gain unauthorised access to data of a third party;
- infringes any proprietary right of any party, including patent, trademark, trade secret, copyright or publicity rights;
- impersonates any person or entity, including the Company and its employees or representatives;
- violates the privacy of any third person;
- contains false or misleading information.
The Company may, but is not obliged to, review Content and refuse, remove or restrict access to Content that it considers to violate these Terms or the law. It may also limit or revoke Your use of the Service if You post such Content. Where required by law, We will tell You the reasons for such a decision and how You can contest it.
You use the Service at Your own risk. You understand that You may be exposed to Content that You find offensive, incorrect or objectionable. To the extent permitted by law, the Company is not liable for Content posted by users or third parties.
Content Backups
The Company performs regular backups, but does not guarantee that no data will be lost or corrupted. Backups may be corrupt or invalid, for example if Content was corrupted before the backup or changed while it was being made.
The Company will provide support and attempt to troubleshoot known or discovered issues affecting backups. However, to the extent permitted by law, the Company is not liable for the integrity of Content or for any failure to restore Content to a usable state. You agree to keep a complete and accurate copy of Your Content in a location independent of the Service.
Intellectual Property
The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark and other laws of Latvia, the European Union and other countries.
Our trademarks, logos and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
Reporting Infringing Content
We respect the intellectual property rights of others and act on notices of illegal content in line with Regulation (EU) 2022/2065 (Digital Services Act). If You believe that Content on the Service infringes Your copyright or other rights, send a notice to dmca@vitextra.com containing:
- Your name and contact details (e-mail address and postal address);
- the exact location (URL) of the Content You consider illegal or infringing;
- a description of the work or right concerned and a sufficiently substantiated explanation of why You consider the Content illegal or infringing;
- a statement that You believe in good faith that the use is not authorised by the rights holder, its agent or the law; and
- a statement that the information in the notice is accurate and complete, and that You are the rights holder or are authorised to act on their behalf.
We will review the notice, may remove or disable access to the Content, and will inform the affected user of the decision where required. Knowingly submitting false notices may lead to liability for damages.
Your Feedback to Us
You assign to the Company all rights, title and interest in any Feedback You provide, to the extent permitted by law. If the assignment is ineffective for any reason, You grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, disclose, sub-license, distribute, modify and exploit the Feedback without restriction. This does not affect any rights that cannot be assigned under mandatory law.
Third-party Services and Links
The Service may contain links to, or integrate with, third-party websites or services that are not owned or controlled by the Company, such as payment providers. The Company has no control over, and assumes no responsibility for, the content, privacy policies or practices of any third-party website or service. To the extent permitted by law, the Company is not liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on such third-party content, goods or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You use.
Personal Data
We process personal data in accordance with the Privacy Policy and applicable data protection law. Where We process personal data on Your behalf in connection with products You use (for example, data of Your employees or customers), the parties will enter into a data processing agreement in accordance with Article 28 of the GDPR upon request.
Termination
You may stop using the Service and close Your Account at any time by contacting us. Cancelling a Subscription is described above.
We may suspend or terminate Your Account and Your access to the Service with notice, or immediately and without notice if You materially breach these Terms, if We suspect fraud or unlawful use, if payment is overdue, or if required by law. Where required by law, We will tell You the reasons.
On termination, Your right to use the Service ends immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, governing law and payment obligations) will survive. Termination does not affect Your statutory Consumer rights or any amounts that are already due.
Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intent or gross negligence, for death or personal injury, for fraud, or liability under mandatory Consumer protection and product liability law.
Subject to the above, and to the maximum extent permitted by applicable law:
- the Company's total liability and that of its suppliers for all claims arising from these Terms and Your use of the Service is limited to the amount You actually paid to the Company for the relevant Goods or Subscription in the 12 months before the event giving rise to the claim, or EUR 100 if You have not purchased anything through the Service; and
- the Company and its suppliers are not liable for indirect, incidental, special or consequential damages, including loss of profit, loss of data, business interruption or loss of privacy, arising from the use of or inability to use the Service or third-party software or hardware used with the Service, even if We were advised of the possibility of such damages.
These limitations apply to business customers in full. For Consumers they apply only to the extent permitted by the mandatory law of their country of residence.
"As Is" and "As Available" Disclaimer
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", and the Company, on its own behalf and on behalf of its Affiliates, licensors and service providers, disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Without limitation, the Company does not warrant that the Service will meet Your requirements, achieve any intended results, be compatible with other software or systems, operate without interruption, meet any performance or reliability standard, be error-free, or that errors will be corrected, or that the Service, its servers or e-mails sent by the Company are free of viruses or other harmful components, or that information on the Service is accurate, reliable or current.
This disclaimer does not affect any non-waivable rights You have as a Consumer, including the legal guarantee for Goods, digital content and digital services. Where law does not permit certain exclusions or limitations, they apply to the greatest extent enforceable.
Sanctions and Export Controls
You represent and warrant that: (i) You are not located in, and are not owned or controlled by persons in, a country or territory subject to comprehensive sanctions or embargoes imposed by the European Union, Latvia, the United Nations or the United States; (ii) You are not listed on any sanctions list or list of prohibited or restricted parties maintained by those authorities; and (iii) You will not use the Goods or the Service in breach of applicable sanctions or export control laws. We may refuse Orders and suspend or terminate Accounts where necessary to comply with such laws.
Governing Law and Disputes
These Terms and Your use of the Service are governed by the laws of the Republic of Latvia, excluding its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If You have any concern or dispute about the Service, You agree to first try to resolve it informally by contacting the Company at info@vitextra.com. We will try to answer complaints within 30 days.
Disputes with business customers that cannot be settled amicably are subject to the exclusive jurisdiction of the courts of the Republic of Latvia in Rīga.
Consumers
If You are a Consumer, You benefit from any mandatory provisions of the law of the country in which You reside, and nothing in these Terms deprives You of that protection. You may bring proceedings in the courts of Your country of residence. You may also contact the Latvian Consumer Rights Protection Centre (Patērētāju tiesību aizsardzības centrs, www.ptac.gov.lv) or the consumer protection authority of Your country, and, where available, use an alternative dispute resolution body.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, it will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver
Failure to exercise a right or to require performance of an obligation under these Terms does not affect a party's ability to exercise that right or require that performance later, and a waiver of one breach is not a waiver of any later breach.
Entire Agreement and Assignment
These Terms, together with the policies referred to in them and any separate written agreement between You and the Company, form the entire agreement concerning the Service. We may assign these Terms to an Affiliate or a successor to Our business. You may not assign Your rights or obligations without Our written consent.
Translation Interpretation
These Terms may be made available to You in several languages. In the event of a dispute or inconsistency, the original English text prevails to the extent permitted by the mandatory law of Your country of residence.
Changes to These Terms and Conditions
We may modify or replace these Terms at any time. If a change is material, We will give at least 30 days' notice before the new Terms take effect, for example by e-mail or a notice on the Service. What is material is determined at Our reasonable discretion. Changes do not apply to Orders already accepted.
If You continue to access or use the Service after the revised Terms take effect, You agree to be bound by them. If You do not agree to the new Terms, in whole or in part, please stop using the Service and, if applicable, cancel Your Subscription before the changes take effect.
